Terms of Service

These terms set out the deal between your organization and Kestro: what the Service does, what you can expect from us, and what we expect from you. We’ve written them in plain language and kept them honest.

01Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between your organization (“you” or the “Customer”) and Kestro (“Kestro,” “we,” or “us”) governing your access to and use of the Kestro web application, APIs, and related services (the “Service”). By creating an account, or by accessing or using the Service, you agree to these Terms. If you enter into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

02The Service

Kestro is a spend and expense management platform. It ingests transactions from connected bank, card, and accounting systems, applies your spend policies, supports coding, approvals, receipts, and reimbursements, and syncs journal entries to your accounting system. We may add, change, or remove features over time; we will not materially reduce the core functionality of a paid plan during a paid term without notice.

03Accounts, eligibility, and users

You must provide accurate account information and keep it current. You are responsible for your users’ activity and for safeguarding credentials. Each individual user must have their own login; you must not share a single login across people. Guests and contractors may submit through single-use, scope-limited links without an account. You must be legally able to form a contract and not barred from using the Service under applicable law.

04Acceptable use

You agree not to:
  • Use the Service to violate any law, regulation, or third party's rights;
  • Upload malware, attempt to breach security or tenant isolation, or access data that isn't yours;
  • Reverse engineer, resell, or provide the Service to a third party except as expressly permitted;
  • Interfere with the integrity or performance of the Service, or probe it without authorization;
  • Submit data you don't have the right to submit, or use the Service for fraudulent transactions.

05Your data and ownership

As between you and Kestro, you own all data you submit or that is ingested on your behalf (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service and as permitted by our Privacy Policy. You can export your organization’s records or request their deletion at any time; deletion cascades across our systems and is itself recorded in the audit log. We do not sell Customer Data.

06Third-party integrations

The Service connects to third-party providers you choose to link — such as Plaid (bank and card feeds), Intuit QuickBooks and Xero (accounting), and Stripe (billing). Your use of those services is governed by their own terms, and we are not responsible for third-party services. You authorize us to access and exchange data with a provider on your behalf when you connect it, and to store the resulting access tokens encrypted at rest.

07Fees, trials, and billing

Paid plans are billed in advance on a recurring basis through our payment processor. Free trials, where offered, convert to a paid subscription at the end of the trial unless cancelled. Fees are exclusive of taxes, which we may charge where required. Except where required by law, fees are non-refundable. We may change pricing on renewal with prior notice.

08Subscription term, cancellation, and suspension

Subscriptions renew automatically for successive terms until cancelled. You may cancel effective at the end of the current term. We may suspend or limit the Service if your account is materially overdue, or immediately if your use threatens the security or integrity of the Service or violates these Terms. On termination, your right to use the Service ends; you may export your data for a reasonable period afterward before it is deleted.

09Confidentiality

Each party may access the other’s confidential information in connection with the Service. Each party will protect the other’s confidential information with reasonable care and use it only as needed to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully received from a third party.

10Warranties and disclaimers

We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” and “as available,” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Kestro is a tool to support your financial operations; it is not an accountant, auditor, or provider of tax, legal, or financial advice, and you remain responsible for your books and filings.

11Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Each party’s total aggregate liability arising out of or related to these Terms is limited to the fees you paid for the Service in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or a party’s gross negligence or willful misconduct where such exclusions are not permitted by law.

12Indemnification

You will defend and indemnify Kestro against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms or applicable law, except to the extent caused by Kestro.

13Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or in the app) before they take effect. Your continued use of the Service after the effective date means you accept the updated Terms.

14Governing law and contact

These Terms are governed by the laws of the jurisdiction in which Kestro is established, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of its courts. Questions about these Terms can be sent to legal@trykestro.com.
